Terms and Conditions

Preamble

Bike Mobility Services GmbH, Mühlenstraße 28, 49661 Cloppenburg (hereinafter referred to as BMS), is Europe's leading bike leasing company. As of February 2025, more than 600,000 employees from over 65,000 companies are already using BMS's services.

Under the Lease a Bike brand, BMS offers company bike leasing for businesses, self-employed individuals, and freelancers. For this brand, BMS is looking for brand ambassadors¹ who, after a successful application, will participate over several months in various events including training sessions, bike fitting, and the ADAC Cyclassics 2025, and will share their experiences on social media platforms such as Instagram, LinkedIn, or STRAVA.

The following terms and conditions apply to applications for the Lease a Bike Brand Ambassador Program (hereinafter referred to as the Program) and are accepted upon submission of an application:

1. General Information

1.1 The Program is promoted via news platforms, emails to companies (Lease a Bike customers), the campaign page on the Lease a Bike website https://www.lease-a-bike.de/jointheride (hereinafter referred to as the Campaign Page), and on Lease a Bike Germany's Instagram, LinkedIn, and Facebook pages (hereinafter referred to as the Social Media Pages). The Social Media Pages are not involved in, connected with, responsible for, or liable for the Program. The Program is not sponsored, supported, or managed by the Social Media Pages.

1.2 The Program is intended to promote public awareness of the Lease a Bike brand through the participation of brand ambassadors in the ADAC Cyclassics 2025 and related marketing activities.

2. Who Can Participate?

2.1 The Program is open to individuals who are at least 18 years old and employed by a company operating in Germany that is a customer of BMS or Lease a Bike.

2.2 By applying for the Program, the applicant agrees to these terms and conditions.

2.3 Applications from employees or relatives of employees of BMS, its affiliated companies, or third parties involved in the Program will not be considered. By submitting the application, the applicant confirms they are not excluded from participation.

2.4 Applications from employees of companies that compete directly or indirectly with BMS or an affiliated company within the meaning of § 15 AktG (hereinafter referred to as Competitor Companies) will also not be considered. By submitting the application, the applicant confirms that they do not work for a Competitor Company or an affiliated company thereof.

3. How and When to Apply

3.1 The application phase begins on February 18, 2025 at 00:00 and ends on March 16, 2025 at 23:59 (hereinafter referred to as the Application Period). During this time, applications can only be submitted via the form on the Campaign Page.

3.2 Each applicant must complete the application form in full and provide all required personal and professional information.

3.3 If the information provided is false or incomplete, the applicant may be excluded from the selection process. If false or incomplete information is discovered later, the selected applicant may be removed from the Program. False information may also justify the termination of any existing ambassador agreement and constitute grounds for extraordinary termination under § 626 BGB.

3.4 Each applicant may only apply once. Multiple applications will not be accepted and may lead to disqualification.

4. Selection Process

4.1 BMS reserves the right to select brand ambassadors. There is no entitlement to enter into a brand ambassador agreement.

4.2 Selection is based on:

• Passion for cycling and alignment with Lease a Bike's values,

• Influence in the workplace and/or social media presence,

• Commitment to participate throughout the full program duration (expected until the end of September 2025), and

• Diversity in industry, geography, and cycling experience.

Being a current Lease a Bike user may also be considered in the selection process.

4.3 Selected applicants will be notified by email by March 31, 2025 and asked to confirm their participation within a specified time frame to finalize their brand ambassador agreement. If they do not respond in time, their spot will be reassigned.

5. Industry Exclusivity

5.1 Applicants agree not to enter into additional cooperation or similar agreements with competitors of BMS during the application period. In case of doubt, applicants should consult with BMS.

5.2 Violation of this clause will result in disqualification. If BMS learns of such a violation after selection, it may terminate participation in the Program unilaterally.

6. BMS Services

The specific services provided by BMS are outlined in the ambassador agreement to be concluded upon selection. These include:

6.1 Cervélo Road Bike:

• Provided for the duration of the Program

• Transferred to the ambassador upon successful completion of all Program requirements

6.2 Additional Services:

• Bike fitting

• Team apparel and accessories

• Personal coaching and digital training sessions

• ADAC Cyclassics 2025 entry fee

• Two (2) hotel nights near the race location

• Travel and meal expenses for shoots or interviews as outlined in the agreement

7. Ambassador Responsibilities

Responsibilities will be detailed in the ambassador agreement and include:

7.1 Content Creation:

• Four (4) social media posts per month on Instagram and LinkedIn (at least one on LinkedIn), permanently available

• Use of hashtags #LeaseABikeCyclingClub and #JoinTheRide2025

• Disclosure as advertising according to § 5a UWG

7.2 Event Participation (mandatory):

• Three (3) digital training sessions

• One (1) photoshoot before the ADAC Cyclassics

• Participation in the ADAC Cyclassics 2025 on August 17, 2025, in Hamburg

8. Publicity

8.1 By applying, the applicant agrees that Lease a Bike may publish their name and application details in a social media post after the selection process.

8.2 The applicant also agrees that Lease a Bike may disclose their name and cycling journey across its marketing channels.

9. Liability

BMS is liable for damages only in cases of intent or gross negligence. Liability for simple negligence is limited to foreseeable damages typical of such agreements. Liability for indirect damages and lost profits is excluded. Exceptions apply where BMS violates essential contractual obligations (cardinal duties).

10. Final Provisions: Changes; Written Form; Governing Law; Jurisdiction

10.1 Lease a Bike reserves the right to terminate the Program or amend these terms at any time without notice. Changes will be communicated to the applicant and published at https://www.lease-a-bike.de/jointheride.

10.2 Amendments must be in writing. This also applies to any waiver of the written form requirement unless the parties agree otherwise in an individual agreement under § 305b BGB.

10.3 The Program and these terms are subject to the laws of the Federal Republic of Germany.

10.4 The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is Cloppenburg, to the extent legally permissible.
