TERMS AND CONDITIONS OF THE LEASE A BIKE - BIKE TO YOUR WORK DAYS PROMOTION JUNE 2 TO 6 2025

1. General 

1.1. These terms and conditions (hereinafter: the "Terms and Conditions") apply to the Bike to Your Work Days promotion (hereinafter: the "Promotion"). The Promotion is organized by Lease a Bike, part of Bike Mobility Services B.V. (“BMS”), located at Otto-Bauer-Gasse 6/3-5, 1060 Wien in Austria to promote Lease a Bike and to support the charitable organization Familienhaus St. Christoph der Caritas Steiermark.

1.2 BMS, Otto-Bauer-Gasse 6/3-5,1060 Wien in Austria, is the legal entity responsible for all collection and processing of your personal data in connection with this Lease a Bike Promotion. BMS is part of Pon Holdings B.V. and its affiliated companies (“Pon”). BMS and Pon are committed to respecting and protecting your privacy and the protection of the personal data you share with us.

1.3. Although the Promotion is also promoted via email to companies that are customers of Lease a Bike during the Promotion and through the Campaign page on the Lease a Bike website, it is also promoted on the Instagram, LinkedIn, and Facebook pages of Lease a Bike (hereinafter: the "Social Media Pages"), Instagram, Facebook, and LinkedIn are not involved in or responsible for the Promotion. The Promotion is not sponsored, endorsed, and/or managed by Instagram and/or Facebook. Instagram and/or Facebook are in no other way connected and/or liable for the Promotion.

1.4. Although the Promotion is promoted in the email newsletter of and on the Instagram, LinkedIn, and Facebook pages of Yellow B. Cycling B.V. (Team Visma | Lease a Bike) (https://www.instagram.com/teamvisma_leaseabike/, https://www.facebook.com/vismaleaseabike/, https://www.linkedin.com/company/teamvismaleaseabike/), Team Visma | Lease a Bike as an organization is not involved in or responsible for the Promotion. The Promotion is not sponsored, endorsed, and/or managed by Team Visma | Lease a Bike. They are in no other way connected and/or liable for the Promotion.

1.5. Although the Promotion is used to raise funds for Familienhaus St. Christoph of Caritas Steiermark, they as an organization are not involved in or responsible for the Promotion. The Promotion is not sponsored, endorsed, and/or managed by Caritas Steiermark. They are in no other way connected and/or liable for the Promotion. Lease a Bike will only pay out the Total Lease a Bike Donation (as defined in Article 8) after the conclusion of the Promotion (see also Article 8).

2. Who can participate? 

2.1. Everyone can participate in the campaign.

2.2. By participating in the Promotion, the Participant agrees to these Promotion Terms and Conditions. 

3. How and when can you participate? 

3.1.1. The Promotion starts on June 2, 2025 at 00:01 a.m. and ends after June 6 2025 at 11:59 p.m. (hereinafter: the “Promotion Period”). During the Promotion Period Participants can submit their cycled mileage during these days to Lease a Bike via the campaign page (hereinafter: the “Campaign Page”) on the Lease a Bike website (www.lease-a-bike.at). Mileage must be entered on the Campaign Page of the Lease a Bike website by 12:00 noon on June 7, 2025.

3.1.2. An employer of a company affiliated with Lease a Bike during the Campaign Period will receive an email prior to the Campaign with a link to promotional materials to bring the Campaign to the attention of employees and a form where optional information can be provided as to whether the company wishes to make an Additional Independent Donation (as defined in aritkel 8) to Caritas Steiermark and to make this known to employees. Also, a Company can search the Campaign page with its Company ID to get to the Company-specific campaign page, where the intermediate score can be seen. Once at least one employee of the respective Company has registered mileage on this page, the Company becomes a participating Company (hereinafter “Participating Company”) and an employee becomes a Participant (as already defined in Article 2.1) from that moment on.

3.1.3. An employee of a company affiliated with Lease a Bike can register miles on the Company-specific page, where the employee arrives via the link shared by the employer, after which a search is conducted on the Company ID of the Company or Contract ID of the employee with a leased bike. Employees without a leased bike from Companies affiliated as customers of Lease a Bike during the Promotion Period can participate by searching on the Company ID of their Participating Company. 

3.2. Each Participant can provide multiple times during the days the cycled kilometers via the form on the Campaign page using cycled distance in kilometers, date, business email address. The Company page where the kilometers can be registered is reached using the Participating Company's Company ID (employer) and/or the Participant's Contract ID (employee). When a trip is first submitted via the form by an employee after entering the Company ID or Contract ID, the corresponding company automatically becomes a Participating Company and participates immediately. The Participating Company does not have to complete any additional tasks for this. In addition, the Participating Company is under no obligation in view of the Donation (see also Article 8).

3.3. Mileage should be entered on the Company Page for each Participant per trip. If the Participant enters kilometers several times, these kilometers will be added up to one total number of cycled kilometers, resulting in the Participant's personal final result. If it can be shown that the number of kilometers entered is unrealistic, the Participant will be excluded from participation in the Promotion. A calculation will also be made of the total number of kilometers biked within a Participating Company (sum of all biked kilometers from all trips submitted by employees working at the company in question).

4. Personal data and privacy

4.1. By participating in the Promotion the Participant consents to the processing of his/her personal data by Lease a Bike and/or parties engaged by Lease a Bike in accordance with the provisions of this article.

4.2. It is necessary for Lease a Bike to process certain personal data from Participants in order to make sure the Campaign is followed as intended. The Participant guarantees that all data provided is correct and complete.

4.3 Lease a Bike (i) will not collect more personal data from Participants than necessary to make sure that the Campaign is followed as intended (e.g. to prevent fraud) and will only use the personal data collected from Participants for that purpose, including any disclosure of such personal data to anyone directly or indirectly involved or connected in any way with the organization of the Promotion and (ii) will not distribute the personal data collected outside the European Economic Area, unless permitted under the General Data Protection Regulation.

5. Price

5.1. 1x Team Visma | Lease a Bike signed trikot woth around 250€ will be given to one participant. Each of the aforementioned prices hereinafter referred to individually as a “Prize”.

5.2 On June 13, 2025, the winner of the Promotion will be determined. The winner of the price will be determined by drawing lots among all Entrants by Lease a Bike B.V. via the website https://wheelofnames.com. 

5.3. The Prize are non-transferable and not redeemable for substitute prizes or cash.

5.4. Lease a Bike reserves the right to cancel a Prize won in case of force majeure situations which make award or performance of the Prize irresponsible or impossible. 

5.5. If a winner of a Prize is prevented by his/her employer from receiving it for any reason whatsoever, the right to the Prize lapses. In this case Lease a Bike B.V. will select a new winner via a draw.

6. Claiming a prize 

6.1. The winner of a Prize will be notified by a personal email sent to the email address provided by the Participant. This email will specify a deadline by which the Prize must be received.

6.2. After the announcement of the winners, those must contact Lease a Bike via a response to the email to confirm that they wish to receive the Prize. Winners must include their name and the requested contact information in that email to Lease a Bike. Only then can the Prize be received. 

6.3. If a winner does not send a confirmation email or otherwise respond to Lease a Bike within 48 hours after Lease a Bike has emailed the winner, the claim to the Prize lapses back to Lease a Bike and Lease a Bike may decide to award the Prize to another Entrant. 

7. Personal data and privacy 

7.1. By participating in the Promotion the Participant consents to the processing of his/her personal data by Lease a Bike and/or parties engaged by Lease a Bike in accordance with the provisions of this article. 

7.2. To enable participation in the Promotion, the determination of winners by drawing, and the provision of the Prizes, it is necessary for Lease a Bike B.V. to process certain personal data of the winners. Lease a Bike processes the e-mail address used to enter the Promotion in order to determine the winners and to contact them. Furthermore, a winner must provide his/her contact information in an email to Lease a Bike so that receipt of the Prize can be scheduled. The Participant guarantees that all data provided is correct and complete.

7.3 Lease a Bike (i) will not collect more personal data than necessary to pay out the Prize and will only use the personal data collected for that purpose, including any disclosure of such personal data to anyone directly or indirectly involved or connected in any way with the organization of the Promotion and (ii) will not distribute the personal data collected outside the European Economic Area, unless permitted under the General Data Protection Regulation. 

7.4. Collected personal data of the winner will be deleted no later than four weeks after the end of the Promotion Period, unless the winner himself/herself has indicated that he/she wishes to receive mailings from Lease a Bike.

8. Publicity 

8.1. By entering the Promotion Participants agree that Lease a Bike may publish the name and mileage of the winning Participant in a social media post on its social media pages after the end of the Promotion.

8.2 By entering the Promotion, Entrants agree that Lease a Bike may disclose the Name of the Company and the number of miles of the winning Company in a social media post on its Social Media Pages following the end of the Promotion.

8.3 By entering the Promotion, Entrants agree that Lease a Bike may shoot visual material during the “Bike Clinic” Prize and share a photograph thereof on its Social Media Pages in agreement with the Entrant and the relevant Participating Company.

9. Donation

9.1. By participating in the Promotion, i.e. from the first moment that a Participant working at the relevant Company registers the cycled mileage on the Lease a Bike website, the cycled mileage by the Participant will count towards a donation by Lease a Bike to Familienhaus St. Christoph of Caritas Steiermark (hereinafter referred to as “the Charity”).

9.2. From then on, every cycled kilometer of employees of companies affiliated with Lease a Bike during the Campaign Period will count towards the donation that will be made by Lease a Bike to the Good Cause. Lease a Bike undertakes to donate 20 cents to the Charity for every cycled kilometer. 

9.3. After the end of the Promotion Lease a Bike will calculate the total number of bicycled kilometers by all Participating Companies during the Promotion Period and calculate the total amount to be donated based on this total number of bicycled kilometers x €0.20 per kilometer. This together constitutes the total donation that Lease a Bike will pay out (hereinafter “Total Lease a Bike Donation”). This donation is capped at the price the cargo bike of Gazelle costs.

9.4. Lease a Bike shall pay the Total Lease a Bike Donation to the Charity by August 1, 2025.

9.5. Employers of the Participating Companies are free to make an additional donation to the Charity (hereinafter “Additional Independent Donation”) via the link in the email they receive on [FILL IN DATE], 2024. As of [FILL IN DATE], employers who are customers of Lease a Bike can submit until the end of the Action Period (June 7, 11:59 p.m.) what they intend to independently make additional donations to the Charity after the Action Period ends. An employer can pass this on by completing the form via the link in the email they receive on May 1, 2024 (hereinafter “Employer Form”). In this way, the Additional Independent Donation will be visible in the intermediate standings overview on the campaign page for Participants employed by this company (Participating Company). Although Lease a Bike will remind the Participating Companies after the end of the Campaign Period of the Additional Self-Donation that the Participating Company has submitted via the Employer Form, Lease a Bike is not responsible for the fulfillment of this Additional Self-Donation to the Charity, apart from its display at the intermediate standings overview. Lease a Bike is therefore in no way connected and/or liable for this Additional Independent Donation.

9.6. The Participating Company is solely responsible for satisfying this Additional Self-Donation. This cannot and is not further required by Lease a Bike and is the Participating Company's own choice. Lease a Bike encourages this through the reminder email afterwards, but bears no further responsibility for this.

10. Liability 

10.1. Lease a Bike accepts no liability for any damages of any kind related to participation in the Promotion, including damages caused by (i) inaccuracies in the prize description(s), (ii) actions resulting from the Promotion, (iii) any tax, levy or other charges which prize winners may be required to pay at any time in connection with the Prize won, (iv) (deficiencies in) any Prize to be paid by it. Lease a Bike makes no warranties regarding the Prize to be provided by it. 

11. Miscellaneous 

11.1. Lease a Bike reserves the right to terminate the Promotion without further notice, or to amend these Promotion Terms and Conditions without prior notice. The amended Promotional Terms and Conditions will be published on the Lease a Bike website. 

11.2. Where Lease a Bike detects fraud in participation in the Promotion, Lease a Bike has the discretion not to pay the relevant Prize and to exclude the fraudulent Participant(s) from further participation in the Promotion. 

11.3. No correspondence can be entered into about the results, except for the email message to Lease a Bike in which a winning Entrant provides his/her name and contact details. 

11.4. In cases not covered by these Promotion Terms a decision will be made by Lease a Bike. 

11.5. The Promotion and the Promotion Terms and Conditions are governed by Austrian law. Any disputes arising out of or otherwise connected with the Promotion shall be submitted to the competent court in [CITY] with exclusive jurisdiction. 

11.6. Lease a Bike acts in accordance with the Code of Conduct for Promotional Games of Chance. 

12. Use of Logos

12.1. Lease a Bike reserves the right to use the logos of participating companies and the supported charitable organizations (Familienhaus St. Christoph of Caritas Steiermark) in connection with the promotion and reporting of the Promotion.

12.2. The participating companies and charitable organizations agree that Lease a Bike may use their logos for promotional purposes related to the Promotion on the website, social media, and other marketing materials.

12.3. If a participating company or charitable organization does not wish for their logo to be used, they must notify Lease a Bike in writing before the start of the Promotion.

12.4. Lease a Bike will ensure that the logos are used only in a manner that respects the reputation and integrity of the participating companies and charitable organizations.

This clause ensures that you obtain permission to use the logos and establishes clear guidelines for their usage.

13. Complaints and contact 

13.1. Complaints about the Promotion can be submitted in writing to Lease a Bike at the postal address mentioned in article 1.1 or by contacting our customer support department at +43 1 4350 310. Within two weeks of the date of a complaint Lease a Bike will respond.
